1. Purpose & Scope

These General Terms & Conditions (the “Conditions”) govern all transport and logistics services (“Services”) provided by Courifly S.r.l. (“Courifly”) to its customers (“Shipper”). They supersede any prior agreements and may only be modified in writing, signed by both parties.

2. Definitions
  • Carrier: the independent contractor performing the Services.

  • Dispatch: a single shipment from one loading point to one unloading point.

  • Order Confirmation: written or electronic acceptance by Courifly of the Shipper’s order.

  • CMR Convention, Montreal, Hague-Visby, CIM: international carriage conventions applicable depending on mode.

3. Services

Courifly arranges and manages air, sea, road, rail, customs clearance, insurance, and related handling for any goods, domestically or internationally, for an agreed fee.

4. Order Process
  1. Shipper submits a request via Courifly’s portal or email.

  2. Courifly issues a quote.

  3. Order Confirmation is binding once Shipper accepts the quote.

5. Prices & Payment
  • Pricing: based on weight, volume, route, and special requirements; exclude duties, taxes, surcharges.

  • Payment Terms: net 30 days from invoice date.

  • Late Payment: interest at ECB rate + 10 pp, €40 recovery fee, and 15% fixed compensation.

6. Insurance

Courifly maintains liability insurance. Upon Shipper’s written request and additional premium, Courifly arranges ad valorem cover (“all risks” minus war/strike) at Shipper’s cost.

7. Performance

Delivery times are indicative. Shipper must provide accurate instructions and correct shipping documents in due time. Courifly is not required to inspect Shipper’s paperwork.

8. Shipper’s Obligations
  • Packaging & Labelling: goods must be properly packed, labelled, and safe to handle. Shipper liable for defects.

  • Declarations: Shipper must disclose special, dangerous, or high-value goods; bear all consequences for omissions.

  • Recipient Reservations: in case of damage/delay, recipient must record reservations per CMR.

  • Customs Formalities: Shipper guarantees correct customs instructions and bears related costs.

9. Digital Data Exchange

Parties may integrate electronic ordering/invoicing systems. Courifly processes data only as instructed and is not liable for missing or incorrect digital information.

10. Liability

Courifly’s liability is limited to the applicable international convention:

  • Road: CMR Convention

  • Rail: CIM Rules

  • Air: Montreal Convention

  • Sea: Hague-Visby Rules

    For mixed or unspecified damage, CMR applies.

11. Sub-contracting

Courifly may subcontract any part of the Services, remaining fully liable for subcontractors’ compliance with these Conditions.

12. Special Services

For tankers, temperature-controlled, oversized, hazardous, live animals, or other specialized transport, Shipper must specify requirements in writing; additional fees apply.

13. Lien & Set-Off

Courifly has a possessory lien on all goods and documents until all claims (invoices, interest, costs) are fully paid. No set-off is permitted without written agreement.

14. Limitation Period

All claims must be brought within one year from delivery (or from invoice adjustment for duties/taxes).

15. Termination

Ongoing contracts may be terminated by either party with notice:

  • ≤ 6 months’ business: 1 month’s notice

  • 6 months–1 year: 2 months
  • 1–3 years: 3 months
  • 3 years: 4 months + 1 week per additional year (max 6 months)Serious breaches allow immediate termination after a 1 month cure period.
16. Confidentiality & Publicity

Each party shall keep confidential all non-public information learned and may not use the other’s name or logo in marketing without prior written consent.

17. Force Majeure

Neither party is liable for delays or failures due to events beyond reasonable control (e.g., natural disasters, strikes, war, epidemics). Obligations are suspended for the duration of the event.

18. Data Protection

Courifly processes personal data on behalf of Shipper in compliance with GDPR. Technical and organizational measures are in place to protect data (see our Privacy Policy). Shipper remains Data Controller; Courifly acts as Data Processor.

20. Governing Law & Dispute Resolution

These Conditions are governed by Italian law. Disputes shall be submitted to the Court of Lucca (Italy) with exclusive jurisdiction.

21. Assignment & Agency

Neither party may assign rights or obligations without the other’s prior written consent. No agency or partnership is created by these Conditions.

22. Severability

If any provision is held invalid, the remainder stays in force; the invalid clause is reformed to reflect the original intent.

23. Notices

All communications must be in writing (English or Italian) and sent to the addresses on the Order Confirmation.
